Terms of Use
1. Preamble
These Terms of Use (the “Terms”) govern access to and use of GeniusClip, a SaaS platform that turns long videos into short clips with the help of artificial intelligence, available at geniusclip.fr (the “Service”).
The Service is published by Denis Du, a sole proprietor (French micro-entreprise) registered under SIREN number 995 343 266, domiciled at Rue du 9 Novembre 1989, 93700 Drancy, France. Publisher contact: contact@geniusclip.eu. The publication director is Denis Du. The Service is hosted by Hetzner Online GmbH, Industriestr. 25, 91710 Gunzenhausen, Germany (hetzner.com). Any change in legal status will be updated here and notified to Users in accordance with the Changes clause.
Anyone accessing the Service (the “User”) is deemed to have read, understood and accepted these Terms without reservation, together with the Privacy Policy and, where applicable, the Data Collection Consent.
2. Definitions
- Service
- The GeniusClip web application available at
geniusclip.fr, its subdomains and its APIs. - User
- Any adult natural person, or any legal entity, that has created an Account on the Service.
- Account
- The User's personal space, accessed with a sign-in code sent by email or with a Google account.
- Workspace
- The work area attached to an Account.
- Credits
- Minutes of source video that can be used under the subscribed Plan. See the Pricing page.
- Source Video
- The video file (or the public link to that file) provided by the User as input to the Service.
- Clip
- The short video file, in 9:16 vertical format, generated by the Service from a Source Video.
- User Content
- All Source Videos, transcripts, editorial metadata and Clips associated with the Account.
- Plan
- The pricing offer subscribed to by the User (Free, Pro or Business), as described on the Pricing page.
3. Acceptance and entry into force
Creating an Account on the Service constitutes full acceptance of these Terms. The sign-in page states this and links to these Terms.
These Terms take effect when the Account is created and apply for as long as the Service is used.
4. Description of the Service
GeniusClip is an online service that lets a User submit a Source Video (by uploading a file or through a public YouTube, TikTok or Vimeo link) and receive in return:
- a written transcript synchronized with the audio;
- an automated selection of moments that could become Clips, each with a score and the reason it was selected;
- editorial metadata (hook, title, description, hashtags) for each Clip;
- a video render in 9:16 vertical format, suited to short-form social platforms, with burned-in captions.
The Service relies on artificial intelligence models for transcription, moment selection and editorial generation. The Service does not guarantee the absolute quality or the editorial relevance of the generated content. The User alone decides how to use the Clips and metadata produced.
The Service is provided on a “best effort” basis. No contractual availability commitment (SLA) applies to the Free and Pro Plans. The Business Plan may be covered by separate service-level commitments on request.
4.1 Posting to your social accounts
The User can connect a TikTok or YouTube account so that GeniusClip posts the Clips the User has scheduled. This connection uses OAuth authorization: GeniusClip never asks for or stores the social account's password.
- Nothing is posted without approval. Each scheduled post goes through a confirmation screen where the User chooses the post's visibility, the allowed interactions and, where applicable, the commercial content disclosure. None of these values is preselected.
- The platform's rules prevail. Posting remains subject to the terms of TikTok or YouTube, which the User accepts separately. GeniusClip can neither bypass nor extend the permissions the platform grants to the connected account.
- The User remains the author. The User remains responsible for the published content, for its compliance with the platform's community guidelines and for the accuracy of any paid partnership disclosure.
- Withdrawal at any time. The User can remove the connection from the Accounts page, or revoke GeniusClip in the platform's settings. Scheduled posts that have not gone out yet then fail, without being removed from the calendar.
GeniusClip is not responsible for a refusal, removal or restriction decided by the destination platform, nor for an interruption of its programming interface.
5. User account
5.1 Registration
Registration is open to any adult natural person or duly represented legal entity. The User must provide a valid email address to which they have exclusive access.
5.2 Authentication
Authentication uses a one-time code sent to the Account's email address, or a Google account. The Service stores no password. The User undertakes to protect access to their mailbox and not to share any code received.
5.3 One Account per User
A User may hold only one personal Account. Sharing a Workspace between several Users is not offered yet.
5.4 Responsibility
The User is solely responsible for the use of their Account, for the content they upload and for the direct or indirect consequences of that use.
6. Plans, billing and Credits
6.1 Plans
The Plans currently offered and their features are described on the Pricing page, which forms an integral part of these Terms. The Free Plan is free of charge and gives rise to no billing. The Pro and Business Plans are paid monthly subscriptions.
6.2 Payment
Payments are processed by Stripe Payments Europe Ltd., under its own terms and privacy policy. GeniusClip stores no card data on its own servers.
6.3 Credits
The Credits attached to a Plan are expressed in minutes of Source Video processed. The duration counted is that of the file (or link) as measured by the Service at import, before any processing. A Credit used is not refundable, except by commercial decision or explicit technical correction by GeniusClip (see 6.6).
6.4 Automatic renewal
Paid Plans renew automatically at each monthly due date. The User can cancel the renewal at any time from their billing page. Cancellation takes effect at the end of the current period.
6.5 Plan changes
The User can change Plans at any time. An upgrade takes effect immediately, prorated. A downgrade takes effect at the end of the paid period.
6.6 No refunds
Every order (subscription or Credit pack) is firm and final. Credits are made available immediately after payment: by confirming the order, the User expressly requests immediate performance of the Service and waives their right of withdrawal, in accordance with Article L221-28 13° of the French Consumer Code, which applies to digital content supplied without a physical medium.
Consequently, no refund is granted, whether for Credits used, for remaining Credits or on a prorated basis for a subscription period already started. Cancelling a subscription takes effect at the end of the current period, without a refund of that period.
The only exception: in the event of a technical error attributable to the Service (a subcontractor outage, a rendering failure, a lost file), GeniusClip may credit back the balance of the affected job after technical review. This always takes the form of Credits returned to the balance, never of a cash refund.
Any abusive payment dispute with the card issuer (“chargeback”) concerning a Service actually provided may lead to the immediate suspension of the Account and to the retention, as evidence, of the technical records showing that the Service was provided (processing logs, file deliveries).
6.7 VAT
The publisher is under the French VAT franchise scheme: VAT not applicable, Article 293 B of the French General Tax Code. The prices displayed are the prices paid.
7. Permitted and prohibited use
7.1 User warranties
The User warrants that they hold all the rights, authorizations and consents needed for the content they upload to the Service. In particular, the User warrants:
- that they hold the copyright, neighboring rights and image rights attached to the Source Videos, or have the written authorization of the rights holders;
- that they have obtained the explicit consent of every identifiable person appearing in the Source Videos for their use for the purposes of the Service;
- that the content uploaded does not breach any law or regulation in force.
7.2 Prohibited uses
The User shall not, in particular and without this list being exhaustive:
- upload unlawful, defamatory, insulting, hateful, violent or pornographic content, or child sexual abuse material;
- upload content that infringes the rights of third parties (copyright, neighboring rights, image rights, trade secrets);
- attempt to bypass the Service's technical mechanisms (quota limits, URL signatures, protections against automated extraction);
- reverse engineer the Service, extract data from it at scale (scraping) or carry out any operation aimed at reconstructing its internal workings;
- resell or sublicense access to the Service, or make it available to third parties, without prior written agreement;
- use the Service for spam, opinion manipulation, covert influence campaigns or disinformation.
7.3 Confidential information
To find the moments, artificial intelligence providers located outside the European Union (the United States and Singapore) transcribe the audio of Source Videos and then analyze the text of the transcript, as described in the Privacy Policy. One of them may use the content it receives to improve its models. The User undertakes not to upload a Source Video containing confidential information: trade secrets, health data, bank details, personal information about third parties. The User alone is responsible for the information they choose to include.
8. Intellectual property
8.1 GeniusClip content
The Service, its source code, interface, texts, brand, logo and all its graphic elements remain the exclusive property of Denis Du (or of any operating company that succeeds Denis Du). No license is granted to the User on these elements, other than the personal, non-transferable right to use the Service for the duration of their subscription.
8.2 User Content
The User remains the owner of all their User Content, including Source Videos, generated transcripts, produced Clips and the associated editorial metadata. Using the Service transfers no intellectual property to GeniusClip.
8.3 Limited technical license
The User nevertheless grants GeniusClip a non-exclusive, worldwide, royalty-free license, limited to the term of the contract, for the use strictly necessary to provide the Service: temporary hosting, transcoding, transmission to technical subcontractors (AI models for transcription and editorial judgment, cloud storage provider, payment processor), generation of Clips and delivery to the User.
8.4 Use for model training
GeniusClip does not use User Content to train its own artificial intelligence models without the User's prior, explicit consent. The terms of this optional and revocable consent are described in the Data Collection Consent document.
9. Availability and limitation of liability
9.1 Availability
GeniusClip takes reasonable technical measures to keep the Service available, but cannot guarantee uninterrupted availability. The Service may be temporarily suspended for maintenance, for updates or in the event of a subcontractor failure.
9.2 Liability cap
In any event, GeniusClip's total liability to a User, for all types of damage combined, is limited to the amount paid by that User for their subscription during the twelve (12) months preceding the event giving rise to the damage. This limitation does not apply in the event of gross negligence or willful misconduct.
9.3 Exclusions
GeniusClip cannot be held liable for:
- editorial decisions made by the User based on the Service's suggestions;
- the direct or indirect consequences of the User publishing the generated Clips;
- failures of third-party technical subcontractors, subject to any technical corrections applied under Article 6.6;
- data loss resulting from an action by the User (manual deletion, closing the Account).
10. Suspension and termination
10.1 Termination by the User
The User can close their Account at any time by writing to privacy@geniusclip.eu from the Account's email address. The renewal of a paid subscription is cancelled from the billing page (see 6.4). Closing the Account leads to the deletion of User Content as described in the Data Deletion procedure.
10.2 Suspension by GeniusClip
GeniusClip may suspend an Account temporarily or permanently in the event of a clear breach of these Terms, in particular the upload of unlawful content, fraudulent use of the Service or non-payment. Where possible, the User is notified before any permanent suspension and has 7 days to respond.
10.3 Effects of termination
Termination, whether initiated by the User or by GeniusClip, gives no right to a refund of remaining Credits or of the prorated subscription paid, except in cases of force majeure or of a serious failure attributable to the Service.
11. Changes to the Terms
GeniusClip reserves the right to change these Terms at any time. Substantial changes are notified to the User by email at least thirty (30) days before they take effect. After that period, continued use of the Service constitutes acceptance of the new Terms.
A User who does not accept the new Terms may close their Account at no cost before they take effect and receive a prorated refund of unused Credits.
12. Force majeure
Neither party can be held liable for failing to perform its obligations in the event of force majeure within the meaning of Article 1218 of the French Civil Code, including natural disasters, armed conflicts, decisions by public authorities, and major, lasting failures of critical Internet infrastructure or of technical subcontractors.
13. Governing law and jurisdiction
These Terms are governed by French law. In the event of a dispute, and before any legal action, the parties will seek an amicable solution. Failing that, the dispute will be brought before the competent courts for the publisher's domicile, subject to the mandatory rules of jurisdiction that protect consumers.
In accordance with Article L612-1 of the French Consumer Code, a User who is a consumer also has the right to use a consumer mediator free of charge. The contact details of the chosen mediator will be published on this page once the membership in progress is finalized; in the meantime, any complaint can be sent to contact@geniusclip.eu.
